Terms of Service

1. PREAMBLE AND ACCEPTANCE

1.1. Parties

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "Customer", or "You") and EVONET GLOBAL JAPAN株式会社 (EVONET GLOBAL JAPAN K.K.), a company incorporated under the laws of Japan ("Company", "We", "Us", or "Our").

1.2. Scope of Service

The Company operates the digital platform Evo Mana (the "Platform"). The Platform facilitates the purchase of digital goods, including but not limited to game currencies, activation codes, vouchers, and direct top-up services (collectively, "Products") for various third-party games and applications ("Publishers").

1.3. Merchant of Record (MoR) Status

You expressly acknowledge and agree that the Company acts as the authorized Merchant of Record (MoR) for all transactions conducted on this Platform within Japan. This means:

• (a) We are the legal seller of the Products to you;
• (b) We are responsible for processing your payment, including the collection of applicable Japanese Consumption Tax (JCT);
• (c) We are the primary point of contact for customer support, refunds, and chargebacks.

1.4. Acceptance

By accessing the Platform, creating an account, or purchasing any Product, you signify your irrevocable acceptance of these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. ELIGIBILITY AND ACCOUNTS

2.1. Age Requirements

The Platform is intended for use by individuals who are of legal age in their country of residence.

For Residents of Japan: If you are under the age of 18 (or the applicable age of majority defined by Japanese law), you represent and warrant that you have obtained the express consent of your parent or legal guardian to use the Platform and purchase Products. The Company reserves the right to request proof of such consent at any time.

2.2. Exclusion of Anti-Social Forces (Japan Specific)

You represent and warrant that you are not, and will not be in the future, a member of an organized crime group (Boryokudan), a corporate racketeer (Sokaiya), or any other anti-social force as defined by Japanese regulations. A violation of this clause will result in the immediate termination of your account and forfeiture of any funds without refund.

3. ORDERS, PRICING, AND PAYMENT

3.1. Order Process & Pricing Errors

All orders are subject to acceptance by us. We reserve the right to cancel any order for any reason, including but not limited to pricing errors (e.g., if a product is listed at an incorrect price due to a typographical or technical error). In such cases, we will refund the amount paid but are not obligated to fulfill the order at the incorrect price.

3.2. Pricing and Taxes

• Currency: All prices listed on the Japan version of the Platform are in Japanese Yen (JPY).
• Taxes: Prices displayed are inclusive of the applicable Japanese Consumption Tax (JCT) (currently 10%), unless expressly indicated otherwise.

3.3. Payment Authorization

By providing a payment method, you authorize us to charge the full amount of your order. You confirm that the credit card or payment account used is lawfully owned by you.

3.4. Transaction Descriptors

Your credit card or bank statement will reflect a charge from "EVOGSHOP*JAPAN" or "EVONET GLOBAL JP". You agree not to file a chargeback or dispute with your bank simply because you do not recognize the descriptor, provided the transaction amount corresponds to your purchase.

4. DELIVERY OF PRODUCTS

4.1. Nature of Inventory (Payment Services Act Disclaimer)

You acknowledge that EVONET GLOBAL JAPAN株式会社 acts solely as a reseller/distributor. We are not the issuer of the in-game currencies or prepaid instruments under the Payment Services Act of Japan. The ultimate responsibility for the usability and management of the in-game currency lies with the respective Game Publisher.

4.2. Delivery & Risk

• Direct Top-Up: The Product is considered "delivered" once our system receives a confirmation from the Game Publisher's API that the credit has been applied.
• Vouchers: The Product is considered "delivered" once the code is displayed on your screen or sent to your email.
• Risk Transfer: Risk of loss passes to you immediately upon delivery. We are not responsible for lost or stolen codes after delivery.

4.3. User Error (No Liability)

You are solely responsible for ensuring the accuracy of the User ID, Server ID, and Region selected. We are not liable for, and will not refund, Products delivered to the wrong account due to your error.

5. REFUNDS AND CANCELLATIONS (JAPAN SPECIFIC)

5.1. General No-Refund Policy

Due to the digital nature of the Products, ALL SALES ARE FINAL AND NON-REFUNDABLE. Once a code has been issued or a top-up credited, it cannot be returned or exchanged.

5.2. Waiver of Cooling-Off Period

Pursuant to the Act on Specified Commercial Transactions of Japan (特定商取引法), you acknowledge that the mandatory "Cooling-Off" period does not apply to digital content purchased through this Platform once the execution of the service has commenced.

5.3. Exceptions

We will provide a refund or replacement ONLY if:

• (a) The Product was not delivered due to a technical failure on our end; OR
• (b) The Product code provided was invalid/defective before delivery.

Note: Delays caused by the Game Publisher's server maintenance are not grounds for a refund.

6. INTELLECTUAL PROPERTY

All trademarks, logos, and game content displayed on the Platform are the property of their respective owners (Game Publishers). We do not claim any ownership over such content. Your purchase grants you a limited, non-exclusive, non-transferable license to use the Product within the applicable game, subject to the Publisher's terms.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY JAPANESE LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

9.2. Exclusive Jurisdiction

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.
